Corporate and M&A

Deal-making is our core competency, with an active practice representing buyers and sellers in a variety of industries. Our team is commercially minded, creative, and practical. 

We regularly act for buyers and sellers in middle market transactions valued between $50m and $1b, and advise founders and significant investors in $1b + transactions. We regularly represent investment managers and wealth management platforms on spinouts and rollups.  

Investment Management

We organize, structure, and document funds and investment vehicles, including PE, hedge and VC funds. We advise on related regulatory filings, risk management, and disputes. We also counsel investment managers on compliance responsibilities, and provide SEC, securities law, and broker-dealer advice and registrations. We regularly act on spinouts and rollups, including a recent spinout of a PE fund from a global bank.

Our team previously held roles including COO of a PE group at a global bank, Co-Head of Investment Management M&A at a highly ranked law firm, and Chief Compliance Officer of an $80B AUM asset manager. 

Aviation

We serve a diverse range of stakeholders, including ultra-high-net-worth individuals, airlines, lessors, and manufacturers. We regularly handle all manner of private and commercial aircraft trading, leasing and financing, in addition to more day-to-day operational and regulatory matters as well as restructuring and disputes in helping clients navigate dynamic market conditions. 

Our Aviation team includes partners Paul Jebely (who has received numerous awards including “Global Private Aviation & Yachts Lawyer of the Year,” “Aviation Trailblazer of the Year”, and has long-ranked as a “Band 1” in Chambers HNW – Private Aircraft) and Ken Lee, a partner specializing in asset financing, who joined us from Clifford Chance’s Band 1 ranked aviation team.

Life Sciences

We represent life sciences clients in mergers, acquisitions, joint ventures, licenses, spinouts, financings, and other corporate transactions, including significant experience in investment and licensing deals. These clients range from start-ups developing cutting-edge technologies to producers of some of the world’s leading medicines. 

Finance

We have expertise in complicated finance structures and a wide range of credit, including traditional and asset finance, and derivative and structured product transactions. Our clients include issuers, lenders, borrowers, and lessors. We have a market-leading practice in asset backed facilities, and regularly represent borrowers on middle market credit facilities.  

Family office

We represent the family offices of numerous prominent individuals, including multi-billion-dollar family offices from private equity fund, hedge fund and tech firm founders, former CEOs of the world’s largest banks, as well as smaller family offices and high net worth individuals. 

Our clients appreciate our connectivity in the family office space and understanding of family office operations. We have developed and implemented forward-thinking regulatory structures for family offices.

Trust and Estates

Clients include multi-generational families as well as first generation creators who share the goal of legacy preservation. We partner with clients as trusted advisors to family trusts, active investment entities, charitable organizations, family governance structures, private placement life insurance and private trust companies. 

We provide fiduciary support to trustees, executors and board members, including navigating trust and estate administration and probate and accounting proceedings.

Our team has deep experience building global incident response programs, developing security and privacy processes, and ensuring compliance with numerous international regulations to safeguard clients’ information assets. Our industry-leading team also helps organizations break down standards and frameworks like ISO 27001, NIST CSF, CIS, etc. into actionable advice to help clients meet operational objectives. Crypto and fintech

Our broad-ranging practice encompasses insolvency, finance, corporate governance, litigation, and regulatory matters across borders, representing significant players in the web3, crypto, digital assets, blockchain, and VC industries.  

Sterlington continues to be at the forefront of this evolving crypto and blockchain world, helping clients with all these challenges and navigating this complex legal and regulatory landscape with innovative legal solutions. We acted for the largest unsecured creditors in liquidation of Three Arrows Capital in the British Virgin Islands and New York, a $10b crypto bankruptcy, and regularly represent crypto and digital asset companies of all sizes in corporate, transactional and litigation matters.
